2009 Year-end Office Closings
Our office will be open for only five
business days during the last two weeks of December. Please review your
calendar. Plan accordingly if you anticipate year-end filings.
Volume is always heavy at that time. While it is our goal and desire
to efficiently accommodate all year-end filings, we are restricted
by fewer work days and less staff.
In your best interest, submit any filings as early as possible. For
most chapters of law, a Delayed Effective Date of up to 90 days from
the date of receipt in our office may be declared within the filing.
We highly recommend you take advantage of that feature.
With your usual cooperation, we will be able to attain your goals
and ours.

The Department of Financial Institutions will be closed on the

ALERT
PAPER YEAR-END FILINGS
- Last date to receive Corporation, Limited Liability Company or Limited
Liability Partnership filings that need an effective date in 2009 is Wednesday,
December 30, 2009. Document(s) must be in a condition acceptable for filing.
If a document has to be returned for correction, its effective date will change.
- Our office hours are 7:45 AM to 4:30 PM
- Our office is closed on the following days:
December 24 (Thursday)
December 25 (Friday)
December 28 (Monday) (due to state employee furlough requirements)
December 31 (Thursday)
January 1, 2010 (Friday)
- All Limited Partnership and Cooperative filings that require an effective
date in 2009 must be received in this office no later than Tuesday, December
29,
and must be accompanied by an additional $25.00 and a request to EXPEDITE
the filing.
- We recommend that any Limited Partnership or Cooperative filing received
in our office after Friday, December 18, 2009, that needs to be effective
in 2009,
be accompanied by an additional $25.00 and a request to EXPEDITE.
- The Corporations’ Section fax machine is available to receive document
filings until only 4:30 PM daily. On Wednesday, December 30, 2009,
the fax machine will accept filings until 4:30 PM. After that the fax machine
will
not accept filings until our office reopens at 7:45 AM, Monday, January
4, 2010. Online payment for faxed document filings must be made prior to midnight
CST, December 30.
- All faxed documents must be sent to the Corporations’ Section fax machine
at 608/267-6813. We cannot guarantee the processing of any filing that goes
to a different Department fax machine.
ONLINE YEAR-END FILINGS
Last date to receive filings submitted online that need an effective
date in 2009, is no later than midnight CST, Thursday, December 31, 2009.
Document(s) must be in a condition acceptable for filing. If a document
has to be returned for correction, its effective date will change.
Online filings subject to the above year-end timing alert include:
- Articles of Incorporation for domestic-only business and
close business corporations (service corporations and close service
corporations may not submit Articles online);
- Articles of Organization for domestic-only limited liability company
- Articles of Merger
- Certificate of Conversion
- Change of Registered Agent and/or Office
- 1st Quarter entity 2009 Annual Report filings for domestic-only
business, close business corporations, and limited liability companies
(service corporations, close service corporations, nonstock not-for-profit
corporations,
and cooperatives may not submit annual reports online)
