What is an Operating Agreement?
Wisconsin statute 183.0102(16) defines an Operating Agreement as "an agreement in writing, if any, among all of the members as to the conduct of the business of a limited liability company and its relationships with its members." Specifically, the names of the members of the LLC are recorded in the Operating Agreement.
The Operating Agreement is maintained by the members of the LLC. It is not filed with the Department of Financial Institutions, and we do not have a form or template for the document. You may want to conduct an internet search to locate more information and sample forms.

Please Note: Articles of Amendment cannot be filed to add or remove members, managers, organizers or owners of the limited liability company. Member and manager information should be set forth in the company's operating agreement. The operating agreement is not filed with the Department of Financial Institutions.

Please Note: A domestic or foreign limited liability company may correct a document that was filed by the department if the document contains a statement that was incorrect at the time of filing or if the document was defectively executed, including defects in any attestation, seal, verification or acknowledgement.
Articles of Correction may not be used to cancel or undo filed Articles of Dissolution or any other previously filed document.
