This site has been assembled by the Wisconsin Department of Financial Institutions Small Business Information Center which was established to facilitate small business capital formation.

North American Securities Administrators Association (NASAA) approves changes to the SCOR form (Form U-7)

If you plan to offer securities in Wisconsin and any of nine other Midwestern states (Illinois, Indiana, Iowa, Kansas, Michigan, Missouri, Nebraska, North Dakota, and South Dakota), and believe that you will be qualified for an exemption from registration with the SEC, this site may be just what you're looking for.

  1. Introduction And Restrictions: Summarizes the Program and provides a brief overview of its limitations.
  2. Midwest Regional Review Application: Application to be completed and sent to each state in which you want to offer and sell securities under this Program. (You may print the screen to obtain a copy of the application. On-line filing is not yet available.)
  3. Required Exhibits: The exhibits that must be filed with your application in each state.
  4. State-Specific Information: A schedule of specific information regarding each state's filing requirements and fees.
  5. Statement Of Policy Regarding Small Company Registration (SCOR): Explains the requirements and restrictions which must be met by any issuer wanting to use the Regional Review Program.

If you plan to offer in other states, check out the Western , Mid-Atlantic, and New England Regional Review Programs.

ADDITIONAL INFORMATION:

  1. SCOR Package: Includes the SCOR Form, which is a question-and-answer-style offering circular, and the SCOR Issuer's Manual which is a detailed guide to using the SCOR Form.  The entire Package is available for downloading free of charge from the North American Securities Administrators Association ("NASAA").
    PLEASE REMEMBER THAT THE SCOR FORM OF DISCLOSURE IS ONLY ONE ALTERNATIVE AND THAT THE TRADITIONAL NARRATIVE FORM OF PROSPECTUS MAY BE USED.
    If you intend to use the narrative form of prospectus in your offering, any of the members of the Midwest Regional Review Program may be able to furnish samples of previously filed and completed prospectuses to guide you when completing your prospectus. There is no cost for the samples.
  2. Uniform Application to Register Securities (Form U-1): Every issuer seeking registration must complete this form, sign it and have it notarized.
  3. Uniform Consent to Service of Process (Form U-2): Every issuer seeking registration must complete this form, sign it and have it notarized.
  4. Uniform Form of Corporate Resolution (Form U-2A): Every corporate issuer seeking registration must complete and sign this form.
